Terms of Service
These Terms of Service (“Terms”) are a binding agreement between SimpleAgentRE, LLC (“SimpleAgentRE,” “we”) and the person or entity that subscribes to or uses the SimpleAgentRE portal (“you”). By creating an account or using the portal, you agree to these Terms, our Privacy Policy, and our Data Processing Agreement.

1. Eligibility & accounts
You must be at least 18 and, where the features require it, a licensed real estate professional or authorized staff. You are responsible for your account, for all activity under it, and for keeping your credentials confidential. Notify us promptly of any unauthorized use.
2. License to use the software
Subject to these Terms and your payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the portal for your internal real estate business during your subscription. We own the software. All rights, title, and interest in the portal — including its code, design, user interface, report and form templates, and all related intellectual property — belong to SimpleAgentRE and are protected by copyright and other laws. No rights are granted except as expressly stated.
3. Subscriptions, fees & renewal
- Fees, billing frequency, and plan details are presented at sign-up. [Insert specific pricing/billing terms.]
- Subscriptions [auto-renew] each term until cancelled. You may cancel at any time; cancellation takes effect at the end of the current paid term.
- Except where required by law, fees are non-refundable. We may change fees with prior notice effective on your next renewal.
- Payments are handled by our payment processor; you authorize charges to your chosen method.
4. Your data & content
You own the client data and content you upload. You grant us a limited license to host, process, and display that content solely to provide the service to you and as described in the DPA. You are responsible for the accuracy and lawfulness of your content and for having any rights, notices, or consents needed to enter client information into the portal. Reports and documents the portal generates from your data are yours to use in your business; the underlying templates and software remain ours (ยง2).
5. Acceptable use
You agree not to:
- Copy, modify, distribute, sell, sublicense, or create derivative works of the software, or make it available to any third party except your authorized users;
- Reverse engineer, decompile, or disassemble the portal or attempt to derive its source code, except to the extent this restriction is prohibited by law;
- Distribute, resell, or publicly post unauthorized copies of reports, CMAs, or other outputs other than in the ordinary course of your real estate business;
- Access the service to build a competing product, or scrape, probe, or test its vulnerabilities without authorization;
- Upload unlawful, infringing, or malicious content, or use the service to violate real estate, privacy, fair-housing, or anti-spam laws;
- Interfere with the service’s operation or security, or exceed reasonable usage that degrades service for others.
6. CMA, valuations & professional responsibility
The portal’s Comparative Market Analysis (CMA) and other automated or AI-assisted features produce estimates and drafts to support your professional judgment. They are not appraisals, not guarantees of value or outcome, and not legal, financial, or tax advice. You are the licensed professional; you are solely responsible for reviewing outputs and for any advice, pricing, or representations you give to your clients. 7. Third-party data & services
The portal may incorporate MLS/IDX listings, public records, payment processing, email, AI, and other third-party services. Your use of third-party data is subject to the applicable MLS, IDX, real estate commission, and provider rules, and you are responsible for complying with them. We are not responsible for third-party services or the accuracy of third-party data.
8. Availability & support
We aim to keep the portal available and to provide reasonable support, but the service is provided on an “as available” basis. We may perform maintenance, updates, and changes. Unless a separate written service-level agreement applies, [no specific uptime is guaranteed].
9. Disclaimers
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT VALUATIONS OR DATA WILL BE ACCURATE OR COMPLETE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLEAGENTRE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR DAMAGES ARISING FROM SERVICE DOWNTIME OR FROM RELIANCE ON ANY VALUATION OR DATA PRODUCED BY THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE [12] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You will defend, indemnify, and hold harmless SimpleAgentRE from claims, losses, and expenses arising out of your content, your use of the service, your violation of these Terms, or your violation of any law or third-party right, including real estate, privacy, and fair-housing laws.
12. Suspension & termination
We may suspend or terminate your access for non-payment, violation of these Terms, or to protect the service or others. You may cancel at any time. On termination, your license ends; data handling follows the DPA and Privacy Policy (including the post-cancellation export window and deletion).
13. Governing law & disputes
These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in [COUNTY/VENUE], and you consent to their jurisdiction. 14. Changes & contact
We may update these Terms; material changes will be posted here with a new date and, where appropriate, notified to you. Continued use after changes take effect means you accept them.
